LIMITED TO LEGAL RESIDENTS OF THE 50 UNITED STATES AND THE DISTRICT OF COLUMBIA, 21 AND OLDER. VOID WHERE PROHIBITED OR RESTRICTED BY LAW.
BY ENTERING OR OTHERWISE PARTICIPATING IN THE PROMOTION, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, THIS CONTRACT REQUIRES YOU TO INDEMNIFY AND RELEASE ALL CLAIMS AGAINST THE RELEASED PARTIES AND TO AGREE TO ARBITRATION WITH NO CLASS RELIEF AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.
ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION WITH NO CLASS RELIEF.

1. ELIGIBILITY: The Rodney Strong eBike Sweepstakes (the “Sweepstakes” or “Promotion”) is open only to legal residents of the 50 United States and the District of Columbia who are at least 21 years of age or older at time of entry. Void where prohibited or restricted by law. Employees of Rodney Strong Vineyards (the “Sponsor”), its affiliates, subsidiaries, distributors, advertising, and promotion agencies, including Marden-Kane, Inc. (the “Administrator”) (collectively “Released Parties”), any person affiliated with the alcoholic beverage industry, including but not limited to retailers of alcohol products, and any other companies engaged in the development, administration, production, fulfillment or distribution of materials for this Sweepstakes, and the immediate family members (spouse, parents, siblings, grandparents and children, and the spouses and “step” relatives of each, regardless of where they live), and individuals living in the same households whether related or not, are not eligible to participate or win. This Promotion is subject to all applicable federal, state, and local laws and regulations. Winning a prize is contingent upon fulfilling all requirements set forth herein.

2. TIMING: The Sweepstakes begins on March 1, 2024 at 12:00:00 AM Eastern Time (“ET”) and ends on May 31, 2024 at 11:59:59 PM ET (the “Promotion Period”). Eligible entries must be submitted by the end of the Promotion Period, as further detailed below. Computer designated by the Sponsor is the official time-keeping device for this Promotion.

3. TWO WAYS TO ACCESS THE ONLINE ENTRY FORM TO ENTER THE SWEEPSTAKES WITHOUT MAKING A PURCHASE OF ANY KIND. *Internet access required.

  1. VIA ONLINE PROMOTIONAL WEBSITE: During the Promotion Period, visit https://www.RodneyStrongEBikeSweeps.com (the “Website”).

    or

  2. VIA QUICK RESPONSE (“QR”) CODE ON DISPLAYS: During the Promotion Period, look for a Rodney Strong Win an Electric Bike (“eBike”) Sweepstakes display that includes a QR code at participating retailers. Scan the QR code with your web-enabled mobile device to access the online entry form.

Then follow the instructions to complete and submit the online entry form to receive one entry (the “Entry”) into the Sweepstakes. Limit one (1) Entry per person using only one (1) email address throughout the entire Promotion Period. Entries must be received by 11:59:59 PM ET on May 31, 2024. By participating in the Sweepstakes, eligible entrants agree to be bound by these Official Rules and the decisions of the Sponsor and the Administrator, which are final and binding. All Entries are the property of the Sponsor and will not be acknowledged.

4. RANDOM DRAWING/ODDS OF WINNING: A random drawing to select fifteen (15) potential winners (each a “Potential Winner”) will be conducted by the Administrator on or about June 7, 2024, from among all eligible entries received. Odds of winning will depend solely upon the number of eligible entries received. This is a randomized drawing that is not intended to and should not influence any decisions or actions for the benefit of the Sponsor. The promotion is in compliance with all applicable anti-corruption laws and regulations.

5. WINNER NOTIFICATION: Potential winners are subject to verification of eligibility and compliance with these Official Rules. The Administrator will attempt to contact the potential winners via the email address provided on the potential winner’s entry form, and such potential winner will be required to complete and return an Affidavit of Eligibility, Release of Liability, Prize Acceptance Form, a W-9 Tax form (which will be used solely for tax reporting purposes), and where lawful, a Publicity Release (collectively “Documents”), in a manner specified by the Administrator. All completed Documents must be received by the Administrator within 5 days (including Saturdays, Sundays, and holidays) of attempted delivery of same, unless otherwise specified. Failure to return required Documents or respond to a notification within the time specified or return of any prize/prize notification as undeliverable, will result in disqualification without further notice and an alternate winner will be selected. In the event a potential winner is deemed ineligible or is unable to claim the prize as specified, the potential winner will be disqualified, and an alternate potential winner will be selected. Any alternate potential winner notified will also be required to adhere to the verification requirements described herein. An entrant is not deemed a winner of any prize unless and until (i) the entrant’s eligibility and compliance with the terms of these Official Rules has been verified, including proof that they are twenty-one (21) years of age or older; (ii) all requirements determined by the Sponsor to claim a prize have been fulfilled, and (iii) the entrant has been notified that the verification process is complete. If Sponsor or Administrator acting on Sponsor’s behalf, is unable to determine and verify a Potential Winner after repeated alternate drawings, or if they fail to receive a sufficient number of entries to correspond to the number of prize(s) available to be awarded, Sponsor reserves the right to not award any or all of the prize(s) offered. No correspondence will be entered into with non-winning entrants.

6. GRAND PRIZES AND APPROXIMATE RETAIL VALUE: There are a total of fifteen (15) Grand Prizes offered in this Promotion. Each prize consists of an eBike valued at $2,500, which will be awarded in the form of a check in the amount of $2,500 to each confirmed Winner. The total value of Grand Prize checks available to be won in this Sweepstakes is $37,500. No substitutions or transfer of prize by winner permitted. The prize check will be awarded within 6 to 8 weeks of winner confirmation unless otherwise noted. Grand Prize winner bears all risk of loss or theft of their prize after receipt of same has been confirmed.

Winners will be solely responsible for any applicable federal, state and local taxes related to the acceptance of the prize award. The value of the Prize is taxable as income and winners will receive an IRS form 1099 reflecting the total prize value stated herein.

7. GENERAL: If an entrant submits more than the stated number of Entries permitted, and/or if the Sponsor suspects that an entrant attempted to obtain additional Entries by using multiple email addresses, registrations, identities or any other method, all Entries submitted by the entrant will be declared null and void. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to the identity of the entrant, the authorized account holder of the email address used to enter will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winner may be required to show proof of being the authorized account holder. Any Entry that is suspected of being fraudulent (including those using robotic, automatic, programmed, or similar methods of participation) will be disqualified, based on determinations made solely by Sponsor. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any promotional materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern, and control. Failure to comply with these Official Rules will result in disqualification.

8. RELEASE: By participating in this Sweepstakes and/or accepting a prize, entrants agree to release and hold harmless the Released Parties and each of their respective directors, officers, employees and assigns from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Sweepstakes or the acceptance, use or misuse of any prize, or for any claims based on publicity rights, defamation or invasion of privacy. Except where prohibited, participation in this Sweepstakes and acceptance of a prize constitutes winner’s consent to the Released Parties and its agents for the use of winner’s name, city/state of residence, and/or likeness, for promotional purposes (including publicly posting winner’s name on a winners list) in any media, worldwide, without further notice or compensation.

9. LIMITATIONS OF LIABILITY: Released Parties are not responsible for lost, late, damaged, misdirected or mutilated email, mail, mail containing insufficient postage, or other communications, or for any technical problems, faulty, lost, garbled, incomplete, incorrect or mistranscribed data/phone/or other transmissions, incorrect announcements of any kind, technical hardware or software failures of any kind including any injury or damage to any person’s computer/mobile device related to or resulting from participating in or utilizing any materials in connection with this Sweepstakes. Released Parties are not responsible for any malfunctions or breakdown of any network systems, unavailable service connections, lost, incomplete or faulty network connectivity of any kind, failures of any service providers, or any combination thereof, which may limit a person’s ability to participate in this Sweepstakes. Proof of submission will not be deemed proof of receipt by Sponsor. Released Parties assume no responsibility for undeliverable email messages resulting from any form of active or passive email filtering by a user, user's Internet service provider and/or email client or for insufficient space in user's email account or any other inability to receive email. Released Parties will have no responsibility for promotional or other Sweepstakes-related materials that may be illegible, mutilated, altered, forged, or tampered with in any way, or for printing, typographical, technical, mechanical, or other errors. In no event will Sponsor be obligated to award more prizes than the number of available prizes stated in these Official Rules.

10. DISPUTES: PLEASE READ - IMPORTANT NOTICE REGARDING DISPUTE RESOLUTION. These Official Rules contain terms that govern how claims relating to this Promotion will be resolved. For example, they include an arbitration agreement and waiver of a class action that require submitting Sweepstakes-related claims to an arbitrator (instead of going to court before a judge or jury). They also limit the ability to bring claims on behalf of other persons (that is, it prohibits bringing any class action or collective or representative proceeding). The official rules also limit the type of damages that can be recovered. Please read these terms carefully as they impact your legal rights and, by participating in the Promotion, you are agreeing to the terms.

CHOICE OF LAW/JURISDICTION AND DISPUTE RESOLUTION: This Promotion is offered only in the 50 United States and the District of Columbia and is governed by the laws of the State of California. By entering, entrants irrevocably consent to the dispute resolutions stated below as well as to the sole and exclusive jurisdiction of the courts of the State of California located in the county of Sonoma for any action, suit or proceeding arising out of or relating to this Promotion. Sponsor's failure to enforce any terms of these Official Rules shall not constitute a waiver of that or any other provision.

a. Any dispute or claim between you, on the one hand, and Sponsor or Administrator, their parents, subsidiaries, affiliates, agents, employees, and assigns, on the other hand (“Claims”) will be resolved exclusively by binding arbitration, rather than in court. There is no judge or jury in arbitration, and court review of an arbitration award is limited. Further, you will not have the right to participate as a representative or a member of a class of claimants. However, except as excluded in Section 10 (f), an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages).

b. Claims include, without limitation, (1) Claims related to or arising out of any aspect of any relationship between you and Sponsor; or Administrator and (2) Claims relating to the construction, scope, applicability, or enforceability of this arbitration agreement. Claim has the broadest possible meaning and includes disputes based on contract, tort, consumer rights, fraud or other intentional torts, statutes, regulations, common law, or equity. Notwithstanding the foregoing, “Claim” does not include an action solely to enjoin infringement or other misuse of intellectual property rights, which may be filed in court.

c. You, Sponsor, and Administrator agree to provide written notice of any Claim and attempt in good faith to resolve the dispute before beginning an arbitration proceeding. Notice to Sponsor shall be sent to the Sponsor’s address noted below. Notice to Administrator shall be sent to the attention of the Compliance Department at the address noted below. If the dispute cannot be resolved within 30 days of providing written notice, any party may initiate an arbitration.

d. The arbitration will be administered by JAMS. The JAMS arbitration rules can be obtained at www.jamsadr.com or 1-800-352-5267. The arbitration will be decided by a single arbitrator selected in accordance with JAMS rules. The arbitrator will take reasonable steps to protect proprietary and confidential information. At your or Sponsor’s request, the arbitrator will issue a reasoned written decision explaining the basis for the award.

e. No class action, private attorney general, or other representative claims may be pursued in arbitration. Unless agreed in writing, claims of two or more people cannot be joined or consolidated in the same arbitration.

f. An arbitration award is limited to actual damages. The arbitration award shall not include statutory damages, disgorgement of profits, lost profits, consequential damages, or punitive damages.

This Promotion involves interstate commerce and these Official Rules, and any arbitration proceedings are governed by the Federal Arbitration Act. Any Claim or other dispute between the parties will be governed by these Official Rules and the laws of the state of California and applicable United States law, without giving effect to any conflict of laws principles that may provide for the application of the law of another jurisdiction.

11. NOTICE: ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right to cancel or modify the Promotion if it cannot be executed as planned for any reason or event beyond Sponsor’s control, including but not limited to a Force Majeure event or occurrence, an “act of God” (e.g., natural disaster, etc.) or an unforeseeable health event (e.g., pandemic) making it inadvisable, impractical, impossible or illegal or which materially affects a parties ability to perform its obligations under this agreement in whole or in part, or if fraud, technical failures, human error or any other causes beyond the reasonable control of the Released Parties impairs the security, integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. If the Promotion is cancelled, the prize(s) will be awarded in a random drawing from among all non-suspect, eligible entries received prior to such action. Any use of robotic, automatic, programmed or the like methods of participation will void such Entry. Sponsor and/or its agent reserves the right to prohibit the participation of an individual if fraud or tampering is suspected or if the participant fails to comply with any requirement of participation as stated herein or with any provision in these Official Rules.

12. PERSONAL DATA: Submission of an Entry constitutes your consent to participate in the Sweepstakes and for use and sharing of your personal data among and by the Released Parties. Personal data submitted will be stored, shared, and used by the Released Parties in accordance with the terms of the Sponsor’s privacy policy at https://www.rodneystrong.com/privacy-policy/, and as otherwise set out in these Official Rules for the purpose of administering this Promotion. You expressly agree to the use and sharing of your personal information for such purpose. Your personal information will not be sold, shared, or otherwise disclosed in any manner with third parties, other than to those parties necessary to fulfill the above purposes, unless you have given your prior express consent to receive additional information from a Released Party or a third party.

13. SEVERABILITY: If any term or provision of these Official Rules is found under the law to be invalid or unenforceable, then such specific term or provision shall be of no force and effect and shall be severed, and the remainder of these Official Rules shall continue in full force and effect.

14. WINNERS LIST: The winners will be posted at https://www.RodneyStrongEBikeSweeps.com on or about July 8, 2024, or after the winners have been verified.
